Business Domiciliation Agreement (domiciliation)

The domiciliation agreement allows a company to establish its registered office at the premises of a professional domiciliation provider, without having its own offices there. Governed by articles L123-11 et seq. and R123-166 et seq. of the Code de commerce (French Commercial Code), this contract may only be concluded with a legal entity holding a prefectural approval. Its minimum term is three months, renewable by tacit renewal. It specifies the services provided (mail reception, telephone line, occasional access to the premises) and the obligations of the domiciled company, notably the obligation to declare any change of situation to the domiciliation provider. Who may carry out the activity of domiciliation provider?

Only legal entities holding an approval issued by the prefect of the department where the premises are located may carry out domiciliation activity on a commercial basis (article L123-11-2 of the Code de commerce, French Commercial Code). Lawyers, chartered accountants and notaries may also domicile their clients under certain conditions.

What is the minimum term of a domiciliation agreement?

The domiciliation agreement must be concluded for a minimum term of three months, renewable by tacit renewal (article R123-168 of the Code de commerce, French Commercial Code). It cannot be concluded for a shorter term.

What are the obligations of the domiciled company?

The domiciled company must effectively use the provider's premises and services, declare any change in its situation (cessation of activity, change of legal form, etc.) and inform the provider of any new address. It must also pay the agreed fee.

What must the domiciliation provider do at the end of the contract?

Upon expiry of the contract, the provider is required to inform the registry of the commercial court by registered letter within three months of the end of the contract, if the domiciled company has not amended its registration (article R123-168 of the Code de commerce, French Commercial Code).
