How many shareholders are needed at minimum to set up a SAS?

A SAS may be formed by a single shareholder (in which case it is a SASU, single-member simplified joint-stock company) or by several shareholders. There is no legal ceiling on the number of shareholders in a SAS.

What is the minimum share capital of a SAS?

There is no legally imposed minimum capital for a SAS: the capital may be freely set in the statutes, from a symbolic 1 euro. Nonetheless, a capital consistent with the intended activity strengthens the company's credibility with partners and banks.

Who can be president of a SAS?

The president of a SAS may be a natural or legal person, whether or not a shareholder of the company. They are appointed by the statutes or by a collective decision of the shareholders. Their powers and remuneration are set in the statutes or by a decision of the shareholders.

Do the statutes have to be registered?

Since the abolition in 2015 of the requirement to register company instruments, SAS statutes no longer have to undergo the registration formality with the tax authorities, except in the event of a contribution of real property or a business. They must, however, be filed with the greffe upon registration.
