Service agreement

A service agreement is the contract by which an independent provider undertakes to carry out a defined assignment for a client, in exchange for a fee, without any relationship of subordination. It sets out the exact scope of the work, the price, deadlines, payment terms and the allocation of responsibilities. A written contract protects both parties in the event of a dispute and proves the agreed perimeter. Note: you fill in the form in English, and the document is generated in French, ready to sign in France.

Frequently asked questions

Is a service agreement mandatory?

It is not legally required for every assignment, but strongly recommended. Above certain thresholds between businesses, a written document (quote, contract or accepted general terms) becomes necessary to set the price and deadlines and to secure payment.

How is it different from an employment contract?

A service agreement is performed without subordination: the provider organises their own work. If the client imposes fixed hours, a workplace and permanent instructions, the contract risks being reclassified as an employment contract by the courts.

What payment terms should I set?

Between businesses, payment terms cannot exceed 60 days from the invoice date (or 45 days end of month). Absent any mention, the legal term is 30 days. Late-payment penalties apply automatically.

In what language is the document generated?

The document is generated in French. French clients, courts and administrations expect a French-language contract. You answer the questions in English so you understand every field.
